Marinanhelmi – Legal Notice

This document contains the terms of use, privacy policy and cookie policy for the Marinanhelmi website and services. We encourage you to read these terms carefully before using our website or services.


Part 1: Terms of Use for the Website and Services

1.1 General

These terms of use (hereinafter referred to as the "Terms") constitute a legally binding agreement between Marinanhelmi (VAT no: FI26092644, hereinafter referred to as the "Service Provider") and the user of its website products and services (hereinafter referred to as the "User"). By using the website or purchasing and/or using products sold by the Service Provider, the User confirms that he/she has read, understood and accepted these Terms in all respects.


These Terms are valid until further notice. The Service Provider is the official distributor of the SEA.AI product family in Finland. All references to "Products" or "Systems" in these Terms and Conditions refer to SEA.AI branded devices, software and related services represented and sold by the Service Provider.


1.2 Description of the Service and Products

The Service Provider sells and markets advanced maritime safety systems based on machine vision and artificial intelligence technology developed by SEA.AI. The main purpose of the systems is to improve the situational awareness and safety of the ship's crew at sea. They are designed to detect, identify and classify floating objects in real time that traditional navigation systems, such as radar and AIS (Automatic Identification System), may not detect or identify. Such objects may include, for example, small boats without AIS transmitters, timber, lost containers, buoys, marine mammals or a person stranded in the water.


The product range includes several product lines aimed at different user segments, such as Watchkeeper, Sentry, Brain, Offshore and Competition. These systems are tailored to meet the needs of various vessels and applications, from leisure boating and long-distance sailing to professional shipping, government use and demanding racing.


The technological core of the systems is the analysis of a continuous stream of images produced by optical and highly sensitive thermal cameras. Artificial intelligence processes this data in real time and compares detected anomalies with SEA.AI's constantly evolving and expanding database of over 18 million tagged marine objects. This enables reliable identification and classification of objects in varying conditions, day and night.


1.3 User Responsibilities

The User is responsible for the accuracy and up-to-dateness of all information provided to the Service Provider, such as order, payment and contact information. If a user account is created for the User on the Service Provider's services, the User is responsible for the confidential storage and use of his/her username and password.


The User undertakes to use the Website, the Products and the related services only for their legal and original purpose. The User must comply with all applicable laws, regulations and good practices when using the services.


1.4 Intellectual Property Rights

All material published on the Website, including texts, graphics, images, logos, videos, product information and trademarks (such as "Marinanhelmi" and "SEA.AI"), is the property of the Service Provider, SEA.AI or their partners. These materials are protected by copyright law and other laws concerning intellectual property rights. Unauthorized copying, modification, distribution, publication or other commercial exploitation of the materials is strictly prohibited without the express prior written consent of the right holder.


Purchasing the Products does not transfer ownership rights to the User in the software, artificial intelligence models, algorithms or user interface included in the Products. These are and remain the intellectual property of SEA.AI. The User is granted only a limited, revocable, non-exclusive and non-transferable license to use the software as an integral part of the Product acquired and only in accordance with its intended use.


1.5 Limitation of Liability

The Products are designed and intended to function as advanced navigational aids. Their purpose is to increase and enhance the situational awareness of the vessel's crew and thereby improve safety at sea. However, it is absolutely important to understand that the Products do not under any circumstances replace, eliminate or reduce the need to follow good seamanship, maintain a constant and appropriate lookout, or apply professional judgment and decision-making by the master and crew of the vessel. Expressions used in the marketing of the Products, such as "sees better than the human eye", describe the potential of the technology under optimal conditions, but do not constitute a guarantee that the system will be error-free in all situations.


The Service Provider or the Product manufacturer SEA.AI do not guarantee that the Systems will detect all possible floating objects, obstacles or collision risks in all possible conditions. The performance and detection ability of the System may be significantly affected by many external factors. These include, but are not limited to, challenging weather conditions (such as heavy rain, fog, snowfall), high waves, strong glare from the sun or other light sources, dirt or fogging of camera lenses, and the size, shape and material of the object.


The Service Provider is not liable for any direct, indirect, incidental or consequential damages resulting from the use, misuse or inability to use the Product. This limitation of liability covers, but is not limited to, damage to the vessel, cargo, environment or persons, business interruption or financial loss. The safe navigation, route selection and collision avoidance of the vessel is the sole responsibility of the master of the vessel at all times and under all circumstances.


The Website and its content are provided on an "as is" and "as available" basis without any warranties of any kind. The Service Provider does not warrant that the Website will function error-free or uninterrupted.


1.6 Links to Third Party Sites

The Service Provider's website may contain hyperlinks to websites owned or operated by third parties. These links are provided solely for the convenience of the User. The Service Provider does not control these sites and is not responsible for their content, privacy practices, security or operation. The inclusion of a link does not imply that the Service Provider approves or recommends the content of such site.


1.7 Modification of Terms

The Service Provider reserves the right to unilaterally modify and update these Terms at any time without prior notice. Changes to the Terms and Conditions shall enter into force immediately upon their publication on this website. By continuing to use the website or services after the publication of the changes, the User shall be deemed to have accepted the amended Terms and Conditions.


1.8 Applicable Law and Dispute Resolution

These Terms and the contractual relationships and potential disputes arising therefrom shall be governed by Finnish law, excluding its provisions on the choice of law.


All disputes arising from these Terms and Conditions shall be primarily resolved through negotiations between the parties.


If no agreement is reached through negotiations, disputes shall be finally resolved in the district court of the Service Provider's domicile (Southwest Finland District Court). If the User is a consumer customer, he or she has the right to file a lawsuit also in the district court of his or her domicile. The consumer customer also has the right to submit the matter to the Consumer Dispute Tribunal (www.kuluttajariita.fi) after first contacting the Consumer Advice Service (www.kuluttajaneuvonta.fi).


Part 2: Privacy Policy (GDPR-compliant)

This privacy policy describes how Marinanhelmi collects, uses, stores and protects personal data in accordance with the EU General Data Protection Regulation (EU) 2016/679 (GDPR) and applicable national law.

2.4 Legal Basis and Purpose of Processing Personal Data

The processing of personal data is based on one or more of the following legal bases under the GDPR:


Performance of a contract: We collect and process personal data that is necessary to receive, process, deliver and invoice orders and to provide related customer service.


Consent: When the User subscribes to our newsletter or other electronic direct marketing material, the processing is based on their voluntary, individualised and informed consent. Consent can be withdrawn at any time.


Legitimate interest: We may process personal data to maintain and develop customer relationships, improve the quality of customer service, analyse website usage to improve our services and prevent and investigate potential abuse.


Legal obligation: We process personal data to comply with our legal obligations, such as retention obligations under the Accounting Act.


The main purposes of processing personal data are to manage customer relationships, manage the order-delivery process, market and communicate products and services, and analyze and develop business. The data is not used for automated decision-making or profiling that would have legal or similar significant effects on the data subject.


2.5 Data Content and Data Sources of the Register

The following information can be stored in the register:


Basic information: Name, contact information (postal address, email address, telephone number).


Corporate customer information: Company name, business ID, name and position of the contact person.


Customer-related information: Order history, delivery and billing information, payment transaction information, customer feedback and contacts.


Permissions and consents: Information on marketing permissions and prohibitions.


Information related to the use of the website: IP address, browser and operating system information, time and duration of the visit, pages visited.


Personal data is mainly collected from the registered person himself/herself via the website's order or contact forms, by email, telephone or in other customer service situations. Information on corporate customers' contact persons can also be collected from public sources, such as company websites or the Trade Register.


2.6 Data Retention Period

We retain personal data only for as long as is necessary to fulfill the purposes specified in this statement, unless the law requires us to retain them for a longer period. For example, materials in accordance with the Accounting Act are retained for the period required by law. The data in the marketing register is deleted when the data subject withdraws their consent to marketing. After the end of the customer relationship, the data is retained for a reasonable period of time to handle any complaints and warranty matters.


2.7 Regular Data Transfers and Transfers Outside the EU/EEA

We may disclose personal data to trusted third parties in situations necessary for the provision of our services. Such parties include, for example:


Logistics partners: For the delivery of orders.


Payment services: For the processing of payment transactions.


IT service providers: For the maintenance of the website and information systems.


Personal data is generally not transferred outside the European Union (EU) or the European Economic Area (EEA). However, it should be noted that the functionality and continuous development of the SEA.AI system is based on data collected by devices installed worldwide, which are used to train artificial intelligence models. In this context, anonymized or pseudonymized operational data (not personal data) from the Product may be sent to the manufacturer of the Product (SEA.AI) for product development and research purposes. SEA.AI also has offices outside the EU/EEA, such as in the United States. If personal data is exceptionally transferred outside the EU/EEA, we ensure an adequate level of data protection by means of safeguards required by law, such as by using standard clauses approved by the European Commission.


2.8 Data Protection Principles

We are committed to protecting personal data with appropriate technical and organizational measures. Digitally processed data is protected by firewalls, passwords and other technical means of information security. Communication between the website and the user's browser is encrypted (SSL/TLS). Manually processed material is stored in locked and monitored facilities.


Access to personal data is limited only to those employees of the Service Provider whose job duties require it. All persons processing personal data are bound by a duty of confidentiality.


2.9 Rights of the Data Subject

The data subject has the following rights under the GDPR in relation to their personal data:


Right to access data: The right to check what data about them is stored in our register.


Right to rectification of data: The right to demand the correction of incorrect or incomplete data.


Right to erasure ("right to be forgotten"): The right to request the erasure of your data under certain conditions, for example if the data is no longer needed for the original purpose or if the processing is based on consent and consent is withdrawn.


Right to restriction of processing: The right to request the restriction of the processing of your personal data in certain situations.


Right to object to processing: The right to object to the processing of your personal data based on a legitimate interest. In particular, the data subject has the unconditional right to object to the use of their data for direct marketing.


Right to data portability: The right to receive the personal data they have provided in a structured, commonly used and machine-readable format and to transmit them to another controller, where the processing is based on consent or a contract.


Right to withdraw consent: Where the processing of personal data is based on consent, the data subject has the right to withdraw their consent at any time.


All requests regarding the above rights must be sent in writing to the contact person mentioned in section 2.2. We may, if necessary, request additional information to verify your identity.


The data subject also has the right to lodge a complaint with the competent supervisory authority, which in Finland is the Office of the Finnish Data Protection Commissioner (www.tietosuoja.fi), if he or she considers that his or her personal data has been processed unlawfully.
